OVERVIEW

Welcome to Essentials Fix. The terms “we”, “us” and “our” refer to Essentials Fix. Essentials Fix operates this online store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the “Services”). Essentials Fix uses the Shopify ecommerce platform, which enables us to provide the Services to you.

These Terms of Service (the “Terms”), together with any policies referenced herein (including our Privacy Policy and Refund Policy), describe your rights and responsibilities when you use the Services or purchase from us.

Please read these Terms carefully, as they include important information about your legal rights, including warranty disclaimers, limitations of liability, and your statutory consumer rights under UK law.

By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not use or access the Services.

By agreeing to these Terms of Service, you represent and warrant that:

  • You have legal capacity to enter into a binding contract; and

  • You will only use the Services in accordance with these Terms and applicable law.

To use the Services, including browsing our online store or purchasing any products, you may be asked to provide certain information, such as your name, email address, billing details, payment information and shipping address. You represent and warrant that all information you submit is true, accurate, current and complete, and that you have all rights necessary to provide such information and use the chosen payment method.

You are solely responsible for maintaining the confidentiality and security of your account credentials (such as your password) and for all activity that occurs under your account. You must notify us promptly if you suspect unauthorised access or any breach of security. You may not transfer, sell, assign or license your account to any other person.

We make every reasonable effort to provide accurate descriptions and representations of our products and services in our online store, including photographs, specifications, dimensions and usage information. However, you acknowledge that:

  • Colours, packaging and product appearance may differ slightly from how they appear on your screen due to device type, display settings or manufacturer updates;

  • Packaging may vary as suppliers make design or branding changes; and

  • Minor variations in appearance do not affect the overall quality or performance of the product.

We do not warrant that the appearance, quality or performance of any products or services purchased by you will meet your individual expectations, provided they are of satisfactory quality, fit for purpose and as described, in line with your rights under the Consumer Rights Act 2015.

All product descriptions, images and pricing are subject to change at any time without notice. We reserve the right to discontinue any product, limit quantities of any product, or restrict sales to any person, geographic region or jurisdiction, on a case-by-case basis.


SECTION 3 - ORDERS

When you place an order through the Services, you are making an offer to purchase the product(s) in your basket in accordance with these Terms. Essentials Fix reserves the right to accept or decline any order at our sole discretion.

Your order is not accepted and no contract is formed—until we:

  1. Confirm acceptance of the order by email; and

  2. Successfully receive and process full payment.

We may refuse, cancel or amend an order, including after submission, for reasons including but not limited to: stock availability, suspected fraud, errors in pricing or product information, failure to verify age for restricted items, or breach of these Terms. If we do not accept or we cancel your order after payment has been taken, we will issue a full refund to the original payment method and, where possible, notify you using the contact information provided.

Please review your order carefully before submitting, as we may be unable to accommodate cancellation or modification requests once an order has been accepted. Your purchases are subject to return or exchange solely in accordance with our Refund Policy and applicable UK consumer law.

You represent and warrant that purchases are for your own personal or household use and not for commercial resale, wholesale or export.


3.1 FULFILMENT METHODOLOGY

Certain products, product lines or orders may be fulfilled through indirect inventory arrangements, whereby items are procured from authorised wholesalers, affiliated suppliers or fulfilment partners only after, and contingent upon, customer order confirmation.

In such cases:

  • Essentials Fix remains the merchant of record and retains full contractual responsibility for procurement, dispatch and successful fulfilment of the relevant order;

  • We remain responsible for compliance with applicable UK consumer protection legislation, including statutory refund and return rights; and

  • Your statutory rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013 remain unaffected.

In rare instances where a third-party fulfilment partner is unable to complete procurement due to availability issues, discontinuation of a product, inventory depletion or circumstances beyond our reasonable control, Essentials Fix reserves the right to cancel the affected order (in whole or in part) and initiate a full refund to the original payment method. Such refunds constitute the sole and exclusive remedy in connection with non-fulfilment arising from product unavailability, and no additional compensation or damages shall be payable in such circumstances.


SECTION 4 - PRICES AND BILLING

All prices, discounts and promotions shown in our online store are subject to change without notice. The price charged for a product will be the price in effect at the time you place your order and will be confirmed in your order confirmation email.

Unless otherwise expressly stated:

  • Prices are shown in GBP and include VAT where applicable;

  • Prices do not include delivery, handling, customs or import charges, which will be displayed separately at checkout.

Prices in our online store may differ from prices in any physical store or from third-party platforms that sell our products.

You agree to provide current, complete and accurate purchase and account information for all purchases. You agree to promptly update your account, billing details and other information (including email address and payment card details) so we can complete transactions and contact you where necessary.

You represent and warrant that:

  1. The payment card or method you provide is valid and lawfully yours;

  2. You are duly authorised to use the payment method for the purchase;

  3. Charges incurred by you will be honoured by your card issuer or payment provider; and

  4. You will pay all charges incurred at the posted prices, including any applicable taxes, delivery and handling charges.

We reserve the right to refuse or cancel transactions where payment is rejected, suspected fraud is detected or required verification checks are not passed.


SECTION 5 - SHIPPING AND DELIVERY

We aim to dispatch orders within reasonable timeframes; however, all delivery times displayed on the Services are estimates only and are not guaranteed. Delivery times may be affected by courier capacity, weather conditions, peak trading periods, customs processes or other factors outside our reasonable control.

We are not liable for delays caused solely by shipping carriers, customs processing or events outside our control, provided we dispatch the products within a reasonable time.

Delivery will be made to the address you provide at checkout. Please ensure that the delivery address and contact details are accurate and complete. If delivery fails or is returned due to incorrect or incomplete information, we may charge for re-delivery or treat the order in accordance with our Refund Policy.

Risk of loss or damage to the products passes to you once they are delivered to the delivery address specified in your order. Until delivery occurs, Essentials Fix remains responsible for the products.

If your products arrive damaged, defective or incomplete, you must notify us within a reasonable period so that we can investigate and, where appropriate, provide a repair, replacement or refund in accordance with your statutory rights.


SECTION 6 - INTELLECTUAL PROPERTY

The Services, including but not limited to all trademarks, brands, text, product listings, reviews, displays, images, graphics, logos, icons, video, audio, and the design, selection and arrangement thereof, are owned by Essentials Fix, its affiliates or its licensors and are protected by UK and international copyright, trademark and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material from the Services, except as incidental to your normal use of the site;

Essentials Fix’s names, logos, product and service names, designs and slogans are trademarks of Essentials Fix or its affiliates or licensors. Shopify’s names, logos, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans displayed on the Services are the trademarks of their respective owners. You must not use any such trademarks without prior written permission.


SECTION 7 - OPTIONAL TOOLS

We may provide you with access to tools offered by third parties as part of the Services (for example, review widgets, payment options or courier tracking services), over which we neither monitor nor have control.

You acknowledge and agree that:

  • We provide access to such optional tools on an “as is” and “as available” basis;

  • We do not endorse, warrant or make any representation about such tools; and

  • We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools is entirely at your own risk and discretion. You should ensure that you are familiar with, and agree to, the terms on which such tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new features or tools through the Services. Such new features or tools shall also be deemed part of the Services and will be subject to these Terms of Service unless stated otherwise.

The Services may contain third-party content and hyperlinks to websites, services or resources that are not owned or controlled by Essentials Fix. These may include embedded third-party functionality (such as external review platforms, payment gateways or social media widgets).

We are not responsible for examining or evaluating the content, accuracy, policies or practices of any third-party materials or websites. If you decide to access third-party websites or services, you do so entirely at your own risk.

We are not liable for any harm, loss or damages arising from your use of third-party websites, or from any purchases, services, resources or content obtained through such third-party websites. You should carefully review the applicable terms and privacy policies of any third-party website before engaging in transactions or sharing personal data.

Complaints, claims, concerns or questions regarding products or services provided by third parties should be directed to the relevant third party.


SECTION 9 - RELATIONSHIP WITH SHOPIFY

Essentials Fix uses Shopify to power the ecommerce platform on which our online store operates. Shopify enables us to provide the Services but is not a party to any contract of sale between you and Essentials Fix.

By using the Services, you acknowledge and agree that:

  • All purchases and sales through the store are made directly with Essentials Fix;

  • Shopify is not responsible for any aspect of the sales transaction, including order fulfilment, delivery, refunds, returns or customer service; and

  • You expressly release Shopify and its affiliates from any claims, damages or liabilities arising from, or related to, your purchases and transactions with Essentials Fix.


SECTION 10 - PRIVACY POLICY

All personal information that we collect through the Services is subject to our Privacy Policy, which can be viewed here. Our Privacy Policy explains how we collect, use, store and share your personal data, and your rights under UK data protection law (including UK GDPR and the Data Protection Act 2018).

Because our store is hosted on Shopify, certain personal information about your access to and use of the Services may also be collected and processed by Shopify to operate and improve the platform. Shopify’s privacy practices are described in Shopify’s Privacy Policy, which you can view via a link in our Privacy Policy or directly on Shopify’s website.

By using the Services, you acknowledge that you have read and understood both our Privacy Policy and Shopify’s privacy practices, and consent to the processing of your personal data as described therein.

If you submit, upload, post, email or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, questions, images or other content (collectively, “Feedback”) to us, you grant Essentials Fix a perpetual, worldwide, irrevocable, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such Feedback in any media.

We may use this licence, for example, to:

  • Operate, provide, evaluate and improve the Services;

  • Develop new products or features;

  • Promote products or the Services, including using anonymised reviews on the website or in marketing materials.

You represent and warrant that:

  • You own or otherwise control all rights in and to the Feedback;

  • The Feedback is accurate and not misleading;

  • Your Feedback does not infringe any third-party rights, including copyright, trademark, privacy, personality or other proprietary rights;

  • Your Feedback does not contain unlawful, abusive, defamatory, obscene, offensive or harmful content; and

  • Your Feedback does not contain viruses, malware or other code that could affect the operation of the Services or any related website.

We may, but have no obligation to, monitor, edit or remove Feedback that we determine, in our sole discretion, to be unlawful, offensive, threatening, libellous, defamatory, obscene or otherwise objectionable, or that violates any party’s intellectual property rights or these Terms of Service.

You are solely responsible for any Feedback you provide and its accuracy. We take no responsibility and assume no liability for any Feedback posted by you or any third party.


SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on or in the Services that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times or availability.

We reserve the right to:

  • Correct any errors, inaccuracies or omissions;

  • Change or update information; and

  • Cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order),

provided that where we cancel an order after payment has been taken, we will issue a full refund to the original payment method.


SECTION 13 - PROHIBITED USES

You may access and use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • For any unlawful, fraudulent or malicious purpose;

  • To violate any applicable local, national or international law or regulation;

  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others;

  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate or otherwise harm any person;

  • To submit false, misleading or deceptive information;

  • To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material, including “junk mail”, “spam”, “chain letters” or any other form of solicitation;

  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Essentials Fix, Shopify or users of the Services, or expose them to liability.

In addition, you agree not to:

  • Upload or transmit viruses, malware or any other type of malicious code that may affect the functionality or security of the Services or any related website;

  • Reproduce, duplicate, copy, sell, resell or exploit any portion of the Services for any commercial purpose without our express written permission;

  • Collect, harvest or track the personal information of others without their consent and in breach of data protection laws;

  • Engage in scraping, crawling, spidering or other automated data collection; or

  • Interfere with or circumvent the security features of the Services, any related website, other websites or the internet.

We reserve the right to suspend, disable or terminate your account or access to the Services at any time, without notice, if we determine that you have violated any part of these Terms.


SECTION 14 - TERMINATION

We may terminate or suspend your access to the Services, in whole or in part, at any time and without prior notice if we reasonably believe that you have breached these Terms or engaged in unlawful or abusive behaviour.

Termination of your access does not affect any obligations that have accrued prior to termination, including payment obligations. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Knife Sales Policy and Contact Information) shall continue to apply following termination.


SECTION 15 - DISCLAIMER OF WARRANTIES

The information and content presented on or through the Services are made available for general information purposes only. While we take reasonable care to ensure accuracy, we do not guarantee that the information is complete, accurate or up to date at all times. Any reliance you place on such information is strictly at your own risk.

Except as expressly required by law or expressly stated by Essentials Fix, the Services and all products offered through the Services are provided on an “as is” and “as available” basis.

Nothing in these Terms is intended to limit or exclude your statutory rights under UK law, including your rights under the Consumer Rights Act 2015 in respect of goods that are not of satisfactory quality, not fit for purpose or not as described.


SECTION 16 - LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by our negligence;

  • Fraud or fraudulent misrepresentation; or

  • Any matter in respect of which it would be unlawful to exclude or restrict liability under applicable law, including your statutory rights as a consumer.

Subject to the above, Essentials Fix, our directors, officers, employees, affiliates, agents, contractors, service providers and licensors shall not be liable for:

  • Any loss that is not foreseeable;

  • Any business losses, including loss of profit, revenue, contracts, data, goodwill or anticipated savings; or

  • Any indirect or consequential loss or damage.

Our total liability to you in respect of any claim arising out of or in connection with these Terms or any contract for sale, whether in contract, tort (including negligence) or otherwise, shall not exceed the total amount paid by you for the products giving rise to the claim.

Your statutory rights are not excluded or limited by this section.


SECTION 17 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Essentials Fix, Shopify and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers, from and against any claims, demands, losses, damages, liabilities, costs or expenses (including reasonable legal fees) arising out of or related to:

  1. Your breach of these Terms or any policies incorporated by reference;

  2. Your violation of any applicable law or the rights of any third party; or

  3. Your access to or use of the Services.

This indemnity does not apply to the extent that any such losses arise from our own negligence, breach of statutory duty or other liability that cannot be excluded under UK law.

We will notify you of any indemnifiable claim and reserve the right to assume control of its defence. You agree to cooperate with any reasonable requests related to the defence and settlement of such claims.


SECTION 18 - SEVERABILITY

If any provision of these Terms is determined by a court or competent authority to be unlawful, void or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the unenforceable portion shall be deemed severed from these Terms. This shall not affect the validity and enforceability of any remaining provisions.


SECTION 19 - WAIVER; ENTIRE AGREEMENT

The failure by us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with any policies or operating rules posted by us on the Services (including the Privacy Policy and Refund Policy), constitute the entire agreement and understanding between you and Essentials Fix and govern your use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.


SECTION 20 - ASSIGNMENT

You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any attempt to do so without consent shall be null and void.

We may transfer, assign, or delegate our rights and obligations under these Terms to another organisation at any time, provided that this does not materially affect your rights under these Terms.


SECTION 21 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you with Services shall be governed by and construed in accordance with the laws of England and Wales. You and Essentials Fix agree that the courts of England and Wales will have non-exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or your use of the Services.

SECTION 24 - KNIFE SALES POLICY (TERMS & CONDITIONS SECTION)

Age Restriction
We only sell knives and bladed articles to customers aged 18 or over, in accordance with the Offensive Weapons Act 2019 (UK) and related legislation.

By placing an order for a knife or bladed product, you confirm that:

  • You are at least 18 years old; and

  • You understand that it is an offence to purchase these items on behalf of someone under 18.

We reserve the right to cancel any order if we have reason to believe that the buyer is under 18 or that the purchase may breach UK law.

Age Verification
We may request proof of age before processing or dispatching your order. Acceptable forms of ID include:

  • Passport;

  • UK driving licence; 

If satisfactory ID is not provided when requested, the order will be cancelled and a refund issued.

Delivery Restrictions
Knives and bladed items will:

  • Only be delivered to the name and address provided at checkout.

Legal Responsibility
It is your responsibility as the buyer to ensure compliance with all applicable laws relating to knife ownership, possession and use in your location. We will not be held liable for any misuse of our products or failure by the buyer to comply with legal age restrictions or usage laws.
